House Hub India — B2B Associate / Dealer Terms (Draft v2)

1. Purpose. The Associate agrees to fulfil customer leads assigned by House Hub India's order-routing system, dispatching directly to the customer from the Associate's own stock.

2. Lead Assignment. Leads are assigned automatically based on order size, customer distance, the Associate's declared stock/brand coverage, and rating. The Associate should confirm or decline an assigned lead promptly.

3. Quality. The Associate shall supply only genuine, unadulterated, correctly branded materials matching the brand, specification and grade declared in this application. Counterfeit, substandard, or mismatched goods are strictly prohibited and may result in immediate suspension.

4. Quick & Timely Delivery. The Associate agrees to dispatch and deliver confirmed leads promptly, within the working hours declared above and any delivery time committed to the customer, so as not to compromise House Hub India's delivery-time promise.

5. Billing. The Associate shall issue a proper GST-compliant invoice for every order dispatched under a lead, at the agreed bill price, and share a copy with House Hub India for settlement and record-keeping.

6. Stock & Pricing Accuracy. The Associate confirms the brands, stock items, minimum order quantity, assured minimum stock, and bill-price basis declared in this application are accurate, and will promptly notify House Hub India of any change.

7. Item Freshness & Packing Quality. The Associate is responsible for ensuring all goods dispatched are within shelf life (not expired or degraded) and are properly, safely packed for transport. The Associate shall replace or refund any item found expired, damaged, or poorly packed on delivery.

8. Settlement. House Hub India settles payment to the Associate on the agreed commission/bill-price basis, to the bank/UPI details provided, once dispatch is confirmed.

9. Data Use. Customer contact details shared for a lead are to be used only to fulfil that order, not for unrelated marketing.

10. Legal & Regulatory Compliance. The Associate confirms it holds all licenses, registrations and permissions required to trade in the declared goods, and shall comply with all applicable laws, including GST law, the Legal Metrology Act, and the Consumer Protection Act, 2019 — including timely, good-faith resolution of any customer complaint about goods supplied under a lead. Nothing in this MOU limits a consumer's statutory right to approach their own local consumer forum under the Consumer Protection Act.

11. Term & Termination. Either party may end this arrangement with written notice. House Hub India may suspend an Associate for repeated non-performance, quality lapses, or inaccurate stock/pricing declarations.

12. Governing Law & Jurisdiction. This MOU is governed by the laws of India. Subject to clause 10 above, any dispute between House Hub India and the Associate arising out of or relating to this MOU shall be subject to the exclusive jurisdiction of the courts at Mangalagiri.
